Terms of Service

These Terms of Service (the "Terms") govern your access to and use of ProxyAI's website, platform, and general account services (the "Service"). By creating an account or using any part of the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. You must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher, to use the Service.

For services, products, add-ons, or usage credits purchased by you or on your behalf, the terms of the ProxyAI Service Agreement (the "Service Agreement") also apply and are incorporated herein. In the event of any conflict or inconsistency between these Terms and the Service Agreement, the Service Agreement will govern and control to the extent of the conflict or inconsistency.

ProxyAI provides a platform to configure, deploy, and manage AI-assisted chatbots across multiple supported communication channels, along with related dashboard, configuration, database, and analytics tools.

You must provide accurate and complete information when registering an account. You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use or security breach of your account.

You agree not to, and not to permit any third party to:

• Use the Service to send unsolicited messages, spam, or engage in deceptive marketing practices.
• Violate the platform policies, guidelines, or terms of service of any connected messaging channels or third-party providers (including Meta, WhatsApp, Telegram, LINE, and others).
• Upload, store, or transmit any content or conversation data that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Disseminate viruses, trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, or surreptitiously intercept any system, data, or personal information.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems connected to the Service.
• Reverse-engineer, decompile, disassemble, or translate any portion of the Service, except to the extent express permission is granted by applicable law.

Access to the ProxyAI platform is provided on a one-time purchase and pay-as-you-go basis as detailed during checkout and in the Service Agreement. ProxyAI does not offer recurring monthly subscription plans. Flagship chatbots and add-ons are purchased through one-time payments. Active chatbot operations, API integrations, and Bot Knowledge document indexing consume prepaid AI credits from your account balance. Token consumption rates vary by model and are governed by our current pricing. We reserve the right to change our prices, rates, and credit policies immediately at our sole discretion.

ProxyAI and its licensors retain all right, title, and interest in and to the Service, including all software, source code, visual interfaces, documentation, and branding. As between you and ProxyAI, you retain ownership of all inputs, prompts, document uploads, and conversation content you submit to the Service, as well as the generated output text to the extent permitted by law. You grant ProxyAI a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable license to host, store, copy, modify, transmit, and process your content solely to provide, secure, maintain, and support the Service, and to comply with legal obligations.

ProxyAI uses third-party artificial intelligence models to generate responses and content. You acknowledge that AI-generated outputs can be inaccurate, incomplete, biased, or unfit for your specific business purpose. You are solely responsible for reviewing, testing, and verifying the accuracy and lawfulness of all AI-generated outputs before displaying them to end-users or relying on them for business decisions.

The Service allows you to connect your chatbot to third-party messaging applications (including Meta, WhatsApp, Telegram, LINE, and others). You acknowledge that ProxyAI does not control, operate, or maintain these third-party platforms. Your use of these channels is subject to their independent terms, fees, and API limitations. ProxyAI is not liable for service interruptions, data losses, account suspensions, or policy changes initiated by third-party channel providers.

We may suspend or terminate your account and access to the Service at any time, immediately and without prior notice, for reasons including:

• Violation of these Terms or the Service Agreement.
• Insufficient account balance or failure to maintain active AI credits.
• Detected security risks, fraud, spamming, or abuse.
• Compliance with legal, regulatory, or governmental requests.
• Discontinuation of the Service or business operations.

Upon termination, your right to use the Service ends immediately. You must export your conversation logs and data before termination; we do not guarantee post-termination data retrieval.

All payments, purchases, and AI-credit top-ups are final and non-refundable. Discretionary refunds may be granted solely for duplicate transactions, verified billing errors, or where ProxyAI fails to provision the purchased product, subject to our refund policy.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROXYAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROXYAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

You agree to defend, indemnify, and hold harmless ProxyAI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your breach of these Terms or the Service Agreement.
• Your content, prompts, or uploaded documents.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your violation of messaging channel terms or guidelines.
• Your deployment, review, or use of AI-generated chatbot outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROXYAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IF THE EXCLUSION OF LIABILITY IN THIS SECTION IS HELD UNENFORCEABLE BY A COURT OF COMPETENT JURISDICTION, PROXYAI'S AGGREGATE LIABILITY FOR ALL CLAIMS SHALL BE STRICTLY LIMITED TO A MAXIMUM OF ONE HUNDRED SINGAPORE DOLLARS (SGD $100.00).

These Terms and any dispute arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of Singapore, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") in force when the notice of arbitration is submitted. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

We reserve the right to amend these Terms at any time at our sole discretion. Any changes will be posted to this page with an updated effective date. Your continued use of the Service after amendments are published constitutes your acceptance of the revised Terms.
